    As CGar pointed out at a lot of public companies you have to get trades pre-approved. If there is a deal in the works a request for pre-approval will just get denied without telling the employee why. I don’t know the facts of the railyard case, but I’m curious as to what the company’s policy was and whether the employees violated it.

  2. Question for those who are defending the rail workers:

    If the public were aware of the presence of lots of suits asking lots of questions on the rail yard, would that affect the stock price?

    And if the answer is yes (which surely it is), doesn’t that conclusively demonstrate that this “hunch” is material information?

    Yep.

    And at many companies – at least in finance – you’re required to get your trades pre-approved.

  5. Yes, lechacal, that’s what I proposed above…that the company prohibit shareholders from trading if there’s something going on.

    You are right about the week or so leading up to eranings announcements. As soon as a company is approached by a suitor, its shares should be restricted.

    They certainly would be at an investment bank and a law firm for the suitor. that’s what a “restricted list” is all about within an IB/broker

  6. Anyone have any good recommendations for Wedding Venues in NYC/BK?
    my best friend is getting married and is going to have about 175 people but she really wants to get married THIS MAY/JUNE and she’s finding lots of places already booked(um no surprise there)
    just wondering if anyone had some good recs
