The annual board elections of our HDFC coop board are approaching and I, as a shareholder, would like to review the rent roll of our HDFC coop in order to prevent non-eligbles, such as shareholders in arrears, from voting.
Both the board and the management company won’t allow insight to the rent roll, stating that the rent roll is confidential information. The management company claims that it is illegal for them to release the rent roll to shareholders other than the board.
The HDFC bylwas I received, state in Article III, Section 6, that, ” books, records, documents and accounts of the corporation shall be open to inspection by shareholders, at reasonable times, at the office of Corporation.”
Is it legal that the board can withhold the rent roll from shareholders and, if so, how would you ever replace board members who are several months in arrears?
