much needed help

So im having this problem with my building. The previous board members never paid the building taxes and water bill etc. So we are in about 300k debt and we suspect them of stealing money. After months if back and forth we finally got them out of the board and my mother is the new president. My sister is the one doing all the work because my mother doesnt really know what she is doing we just needed her to be the president since shes the owner of our apartment. My sister has power of attorney over my mom and the management company is trying to take out a loan for the building but we including my mother doesnt want to so they are trying to set up a meeting with the new board members but they said that my mother cant take me or my sister or anyone else to the meeting. So what im asking is if there is any laws that say that they cant take anyone to the meetings. Any help will be greatly appreciated . Thanks

Even more about your post that lacks clarity: Why would co-operators elect a President who “doesnt really know what she is doing”? Why does your sister have a PoA for your mother? Is it springing or durable? Do you and your sister share the apartment with your mother? Are you co-owners along with your mother?

Also, the building will be the entity that takes out a loan, using the building’s attorney to do so, not the management company. Or perhaps you mean the management company is trying to persuade the building to take out a loan to cover the shortfall. Regardless of the reason for the shortfall, nonpayment of taxes and water could trigger city foreclosure on the building. Has the board consulted with the building’s lawyer and accountant on this matter?

Your post isn’t specific enough for me to figure out who the different actors are and what the situation is. It sounds dire, though. With a valid Power of Atty your sister should be able to represent your mother in any capacity, and the Management Company should not have any way to oppose it, unless it’s explicitly provided in the CoOp ByLaws that Board members cannot be represented by their agents in Board meetings. I doubt it. The building is obviously big if it really has accrued 300K of debt for non-payment of taxes, water, etc. unless this has been going on for 10 years which is doubtful. Anyway, the Management Company (if it’s the same one that was in place when the money was vanishing) is in a compromised position. I mean: what were they thinking or doing if the couldn’t notice something as egregious as this going on? Or was it a self-managed building and only now hired a management company? I’m sorry but the story has too many holes.

I’ve never been part of a co-op that was big enough to have a managing company or agent, but it would seem to me that who represents the board at a meeting is a matter for the board and the management company has no basis to say who should or should not represent the board at the meeting. Consult the by-laws, but the issue is whether your mom has friction with the other board members on this. I would think this is would not count as a meeting of board per se, but of the board or board committee with the managing company for contractual purposes. Also, look at the contract between the board and managing company. Perhaps have an attorney look at it so you know what the scope of their duties area as a legal matter if the contract is vague, as well as what the provisions are for meeting with the board. Did the managing company have any role in managing the finances? if so, they need to account for whatever happened on their watch. And yes, audit is a god idea, and it needs to be independent. Again, I don’t have experience with this, just my $0.02 as to how i would think about it if I were in your situation.
