Purchase Contract Questions (help!)
Backstory: Am buying a place, haven't done so in NYC before, let alone done a condo purchase, so I'm just not sure what's standard language.
Yes, I am working with an attorney, but I have been given loads of good advice from you folks and I would feel better knowing that these particular terms (that the atty says aren't usually negotiable) are actually common and not things I should be stressing about:
-Resale of the unit: Sponsor is asking for right of first refusal - that we will give them first dibs on purchasing the unit. If normal, is there a standard term length for notifying them of the pending sale and receiving their response?
-Damage to the unit before closing: If there is significant damage ("fire or other casualty"), seller can resolve in a "reasonable amount of time"
and it won't void our contract. Now, we have a walk away date so that we're not waiting indefinitely to close, but is the Damage clause legit?
-If we do walk away, within our rights, are we entitled to interest on the deposit?

what a weird response. i didn't answer your question about taxes/atty fees because a) it's none of your business, b) i don't care to give too many details about the transaction, as i know that brokers/sellers/etc might be reading this board and c) it's not relevant to my questions.
My atty has not been unresponsive at all, but has answered my questions. Because this is all new to me, and involves a sh*tton of money, I'm looking for a second opinion as too whether these are common clauses, without having to hire another attorney. Anyone with buying/selling experience, including other homeowners, lawyers, brokers, etc are free to answer that if they choose to.

k91, there was of course some negotiation on many of the terms of the purchase, financially and re: contract terms. everything is negotiable!
anyone have any input on the second issue re: serious damage pre-closing? i suppose expressly linking our walk away date to that clause would be the same/similar enough to getting rid of it completely.

we have a lawyer, i've just never seen these particular clauses in a purchase agreement before, having never bought a condo in nyc!

As a buyer, I have been working with Roberto Gonzalez from Bond New York and he's been fantastic. He's proven to be not only a great guy (keeping me sane and relatively stress free during our search) but is also extremely informed about the trends across the financial and real estate markets, buyer/seller psychology, and negotiating tactics. I really can't say enough good things about him. He lives over off Grand and knows the WB market extremely well.

If you really like the place and feel that it's a good fit for you, go for it. Hedging your bets that the price will fall a bit more seems like a big risk to take. If the seller is eager to get on with the closing, perhaps your reluctance can spur them to renegotiate your deal -- get them to pay the transfer taxes or other closing costs, pay the common charges for a year or throw in some new appliances, something like that.

For another opinion..
I went to see 927 Pacific on Sunday and it was horrible - standing water in the common areas, a garage for a lobby, oven in the living room, poured concrete floors and walls that looked more 'unfinished' than industrial, tiny bedroom with a little study to the side that would be useful only as a walk in closet, light fixtures that didn't line up with the cut outs in the drywall.....and while those glass panels that serve as a front door might be nice to have open on some nights, they'd make more sense in Miami.

When I was looking for apts a long time ago, this was a scene I came across more times than I would have expected. Then it kind of became a surprise when I did NOT see someone crashed out on a futon/couch/dingy mattress on floor, usually surrounded by a variety of bongs and occasional baggies of product. It became sort of a game for me "Find The Stoner".

Brown Harris Stevens has a policy of not showing bedrooms, Mimi.
A couple years ago we saw a brownstone in North Park Slope for sale not rent (for $2.5 million at that) in which both tenants in the 2 rental units had refused to leave for the open house. They were hangin' out and hadn't cleaned their messy, run-down apartments. One guy was a middle aged gay man, another guy was a divorced man who had his toddler son for the weekend so the kid was there too. It was so uncomfortable to invade their space. Anybody who bought that place for $2.5 million would surely not keep that house in the same layout, it was so chopped up in a dumb way. These people knew they'd be kicked out by any new owner. During that same time we looked at another house for sale and the tenant in the rental unit had also stayed in her apartment during the open house and was cooking fish giving us all surly looks! Hilarious. It was so smelly.
